All services are tailored to SME owners and executives and are delivered under advisory, project-based, or retainer models.

## 3. Client Responsibilities

Clients agree to:

* Provide timely and accurate information necessary for project execution

* Ensure participation from relevant team members as required

* Maintain confidentiality and respect intellectual property shared during engagement

* Adhere to agreed timelines, deliverables, and communication protocols

Failure to meet these responsibilities may result in delays or additional charges.

## 4. Fees and Payment Terms

**Fees** may be structured as follows:

* **Fixed Project Fees** for defined audits, workshops, or transformation projects

* **Monthly Retainers** for ongoing advisory support

* **Equity Involvement** in select cases, subject to a separate agreement

* **Optional Buy-Out Clauses** for early termination of retainer or equity-linked arrangements

All fees are subject to VAT where applicable. Payment terms are net Pre-Payment unless otherwise agreed. Late payments may incur interest as per the European Communities (Late Payment in Commercial Transactions) Regulations.

## 5. Intellectual Property

All materials, tools, templates, methodologies (including UBOS), and deliverables provided during engagements remain the intellectual property of Greg Heaslip unless explicitly assigned in writing.

Clients receive a **non-exclusive, non-transferable license** to use deliverables for internal purposes only. Reuse or redistribution without written permission is prohibited.

## 6. Confidentiality

Both parties agree to treat all shared business, financial, or operational information as strictly confidential. This includes AI models, strategic roadmaps, employee data, or business plans.

Exceptions apply only where disclosure is required by law or regulatory authority.

## 7. Disclaimers and Limitations of Liability

While we aim to provide accurate, timely, and effective advice, we do not guarantee specific business outcomes, cost savings, or valuation increases.

Our liability is limited to the total fees paid for the services rendered. We are not liable for indirect, incidental, or consequential damages including lost profits or business interruptions.

## 8. Termination Conditions

Either party may terminate services with 14 days' written notice. For fixed-scope projects, partial refunds may be provided at our discretion, based on completed work.

We reserve the right to suspend or terminate services immediately for breach of terms, unethical behavior, or failure to pay invoices.

These Terms are governed by Irish law. Any disputes shall be resolved in the courts of the Republic of Ireland.
